The Tax & legal department focus on tax law, company law, civil and commercial law. The team monitors closely changes in the – often complex - regulation as well as the latest developments in jurisprudence and administrative practices. The department has several legal databases and an extensive library at its disposal. The team is managed by Pieter Van Reybrouck and Jan Werbrouck.

The tax team works on more complex restructuring operations, estate planning, optimization of real estate transactions, international tax law, ruling applications, regularisation applications and litigation with the tax authorities (objections, mediation). All fields of tax law are handled, including registration and inheritance tax.

The team advises and assists companies with the setting up of companies, preparing articles of association and shareholder agreements, amendments to the articles of association, capital increases, mergers and split-ups, issuing securities such as warrants, profit-sharing certificates or bonds and in the case of dissolutions and liquidations. 

The legal assistance of M&A transactions, share deals as well as asset deals, acting for buyers as well as sellers, forms a substantial part of our practice. The legal experts of the Tax & Legal team advise on various contracts, including loans and securities, lease agreements, purchases agreements, services and franchising agreements.

Pieter Van Reybrouck

Pieter (°1972) studied law and philosophy at the KULeuven. In 1995 he obtained master degrees in law and in philosophy.

Pieter started his professional career as an assistant in the Faculty of Law and then worked for the Research Foundation - Flanders at the Higher Institute for Philosophy at KULeuven. He joined Van Reybrouck in 2000 and became an accountant and tax consultant in 2004.

Pieter leads the tax and legal department and the corporate finance practice (acquisitions, capital and debt financing, restructurings). He is an atypical accountant with qualifications in law and philosophy, and he is mainly appreciated for his ability to reflect across domains and to think strategically. He has a good understanding of the operations, the interests and the needs of clients and is able to build relationships as a partner and confidential adviser of the client.

Jan Werbrouck

Jan (°1965) earned a candidate (bachelor) degree in philosophy and a license (master) degree in law from the KULeuven, as well as a master in tax law Université Libre de Bruxelles.

After working as a tax lawyer in an international consultancy and audit firm and as an assistant at the law faculty of the KULeuven, he started as an attorney at the law firm Stibbe in 1997, where he became a partner in 2001. From 2005 to 2010, Jan was a partner and head of the tax department of the law firm NautaDutilh. As a lawyer, Jan was recommended by Chambers (“Jan Werbrouck is recommended by clients for […] his ability to think outside the box and offer creative solutions”) and Legal 500.

Jan decided to join our firm in 2011, where he plays a key role in managing the tax and legal department. His experience in complex transactions and operations which bring together different fields of law is impressive. He is praised by colleagues and clients for his creativity, his analytical sharpness and his ability to find solutions for clients.
